Terms of service

01Who can use tokensupply

tokensupply is for businesses and people acting for a business. To use it you must be at least 18, able to enter a binding contract and not barred from using it by law. Please give us accurate information and keep it up to date.

02The service

tokensupply lets you keep one inventory of digital goods, connect your sales channels through their official seller APIs, sync stock between them, deliver codes when orders come in, set how much stock each listing can sell, and reprice listings within rules you choose.

We keep improving tokensupply, so features may change. Features we label as beta or preview are offered as they are and may change or be withdrawn.

03Your account

You are responsible for your account and everything done with it, including by team members you invite. Keep your sign-in details secure and tell us at support@tokensupply.io straight away if you suspect unauthorised access.

04Connecting sales channels

When you connect a sales channel, you authorise tokensupply to access your account on it with the credentials you give us and to act on your instructions, including syncing stock, updating listings and prices, and fulfilling orders.

Sales channels are independent third parties. You must follow each channel’s own terms and policies. We are not responsible for what channels do, including outages, API changes, fees, account restrictions or payouts. You can disconnect a channel at any time.

05Your inventory and deliveries

You are responsible for the codes and other goods you add to tokensupply. You confirm that you have the right to sell them, that they were lawfully obtained, and that they are valid and match your listings.

tokensupply delivers codes from your inventory when an order arrives, following your settings. Deliveries and stock updates depend on your sales channels and their APIs, so we cannot guarantee that every sync or delivery will happen instantly or at all. We design tokensupply so that the same code is not sold twice, but you should still review your stock and settings.

Your relationship with your buyers is yours. You are responsible for customer service, refunds, returns, chargebacks and disputes with buyers and channels.

06Pricing tools

Auto pricing changes your prices within the rules and limits you set, including your price floor. You are responsible for those rules and for the prices your listings show. Pricing relies on market data from channels that may be delayed or inaccurate, and we do not guarantee any sales, margin or result.

07Fees and payment

Paid plans cost the fees shown when you sign up, in the app or in an order form we agree with you. Unless agreed otherwise, fees are payable in advance and exclude taxes, such as GST, which you are responsible for.

We may change our fees with advance notice. If a payment fails, we may suspend paid features until it is made. Fees are non-refundable except where the law requires otherwise or we agree otherwise in writing.

08Acceptable use

You must follow our acceptable use policy, which forms part of these terms. It covers, among other things, the goods you may not sell and how you may not use the service or your channels.

09Your data

You keep all rights in the data you bring to tokensupply, such as your inventory, listings and orders. You give us permission to host, copy, process, transmit and display it as needed to provide, secure and improve the service, and to use it in aggregated, de-identified form to understand and improve tokensupply.

You are responsible for having the rights and consents needed to share data with us, including buyer data. Our privacy policy explains how we handle personal data.

10Our intellectual property

tokensupply, including its software, design and brand, belongs to us and our licensors. While you use the service, we give you a limited, non-exclusive, non-transferable right to use it under these terms. You may not copy, modify, resell or reverse engineer it except where the law allows. If you send us feedback, we may use it without any obligation to you.

11Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only for the purpose of these terms, unless it is already public, was independently developed, or must be disclosed by law.

12Suspension and termination

You can stop using tokensupply and close your account at any time. We may suspend or end your access if you breach these terms, if you do not pay fees that are due, if we have to by law, or if your use puts other users, channels, buyers or tokensupply at risk. Where it is reasonable, we will tell you first and give you a chance to fix the problem.

When your account ends, your right to use tokensupply ends. If you ask before your data is deleted, we will help you export it where we reasonably can.

13Disclaimers

tokensupply is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties not set out in these terms, including that the service will be uninterrupted or error-free, and we are not responsible for sales channels or other third-party services.

14Limitation of liability

To the extent the law allows, neither of us is liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to tokensupply is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

15Indemnity

You will defend and indemnify tokensupply against third-party claims arising from the goods you sell, your listings, your dealings with buyers and channels, or your breach of these terms or the law.

16Changes to these terms

We may update these terms. We will change the date at the top when we do and, for significant changes, tell you by email or in the app before they take effect. If you keep using tokensupply after a change takes effect, the updated terms apply.

17Governing law and disputes

These terms are governed by the laws of India. If a dispute comes up, please contact us first at support@tokensupply.io so we can try to resolve it. Otherwise, the courts in Bengaluru, Karnataka have exclusive jurisdiction.

18General

These terms, with the policies they refer to and any order form we agree with you, are the whole agreement between us about tokensupply. You may not transfer them without our consent. If part of them is found unenforceable, the rest still applies, and not enforcing a right is not a waiver of it. Neither of us is responsible for delays caused by events beyond reasonable control. We may send you notices by email or in the app.
